Terms & Token Policy

This page explains, in plain language, what a Token Bound token is, how the Master Buyout works, and how the holder make-whole is paid to the people who collected a hybrid's tokens when that hybrid is acquired. It is written to be read — not to be skipped.

Last updated: October 6, 2026 Applies to: the AIVH Token Bound registry & the Beats marketplace

01Agreement

AVH Studios ("AIVH", "we", "us") runs a browser studio for turning AI songs into human-sounding ones, a marketplace for re-performed instrumentals (the "Beats" page), and a registry of hybrid voices called Token Bound. By creating an account, collecting a hybrid's tokens, listing or buying a beat, or otherwise using these features, you agree to these terms. If you do not agree, please do not use them.

These terms are a plain-language summary of how the Token Bound economy behaves. Where a specific product screen shows a number (a price, a floor, a fee), that screen and these terms are meant to be read together.

02What a Token Bound token is

A collectible that credits a voice — not a currency, not a share, not an investment.

A hybrid human vocalist is a new kind of voice: two creators blend their real voices into a single hybrid voice. Each hybrid is registered on-chain as a soul-bound token — meaning it is permanently bound to its makers, non-transferable, and impossible to copy. The hybrid carries a fixed pool of 250,000 tokens, and every token collected on that hybrid is permanently credited to the two collaborators who made it.

250,000Tokens per hybrid (fixed pool)
Soul-boundNon-transferable; cannot be copied or sold
CreditedYour name is bound to the hybrid forever
CollectibleNot a security, currency or financial product

A token is a digital collectible. It is not a share, a unit of a fund, a debt, a promise of profit, or a claim on AIVH. Collecting one does not give you ownership of the hybrid voice, the song, or the underlying masters — those stay with the creators and are licensed or sold on the terms shown in the product.

03Collecting tokens

You collect a hybrid's tokens by downloading its song from the Token Bound registry. Each download collects a set number of that hybrid's tokens at the price shown at checkout, until the hybrid's 250,000-token pool is exhausted. Tokens you collect are yours to keep as a collectible and are recorded against your account; they are not transferable to another account or wallet, and they cannot be resold.

Because the pool is fixed and downloads are the only way in, a hybrid can sell out. Once the pool is exhausted, no further tokens can be collected on that hybrid.

04The Master Buyout

One buyer can take the whole song — if both creators turn their keys.

A single buyer may acquire a hybrid's exclusive master and exclusive commercial rights by outbidding the entire token pool. This is the Master Buyout. Because a hybrid is co-owned by two creators, both of them must turn their key before a buyout can settle; either creator may decline, counter, or withdraw. A buyout can only be offered on a hybrid where both creators opted in, and that choice is made before the song is finalized.

The minimum admissible offer is set just above the full-set value of the token pool (the "floor"). Offers at or above a private reserve are auto-acceptable; offers between the floor and the reserve are admissible at the creators' discretion. When a buyout completes, the hybrid is retired — it is frozen, no further tokens can be collected, and the tokens already collected become a closed-edition collectible.

05The holder make-whole

When a hybrid is acquired, the people who collected its tokens are paid too.

When a Master Buyout settles, the money the buyer pays does not all go to the two creators. A defined share of the proceeds — the holder make-whole — is set aside and paid out to the people who collected that hybrid's tokens. Each holder receives a share of the make-whole in proportion to the number of that hybrid's tokens they collected. The remainder of the buyout goes to the two collaborators, divided according to the split they locked when they created the hybrid.

How the make-whole is paid

The make-whole is a one-time, cash wind-down distribution from the buyout proceeds. It is paid pro-rata to holders based on the tokens they collected, at the moment the hybrid is acquired. It is sized by a formula that AIVH sets and may adjust, and it is capped so that it never consumes the entire buyout. Because it only ever occurs when a buyout actually settles — and most hybrids may never be bought out — the make-whole may never be paid at all.

The make-whole is a wind-down distribution, not a return, dividend, interest payment, or profit. It is not guaranteed, it is not recurring, and its size is not fixed in advance. It exists so that the people who supported a hybrid are treated fairly if that hybrid is ever acquired outright.

06Not an investment

Please read this

Token Bound tokens are collectibles. They are not securities, shares, investments, currencies, or financial instruments, and AIVH is not offering any investment product, security, or financial instrument of any kind.

You should not collect tokens expecting a profit. There is no promise, plan, or expectation that a token will be worth more than you paid, that a buyout will ever happen, or that any make-whole will ever be paid. You may lose the entire amount you paid. Only spend what you are comfortable treating as the price of a collectible.

Nothing on this page or anywhere in the product is financial, investment, legal, or tax advice. Any figures shown (prices, floors, reserves, settlement previews) are product mechanics, not forecasts or guarantees. You are responsible for your own decisions and for any taxes that apply to you.

07Payments & refunds

Payments are processed by Stripe. Purchases under the wire-transfer threshold complete instantly; larger purchases are settled by wire transfer, where you submit a request and an AIVH admin provides the details and facilitates the payment. Please pay only through AIVH — paying a seller off-platform voids any clearance guarantee and any money-back protection.

Beat and token purchases are generally final, because they deliver a digital file or credit a collectible immediately. Where AIVH offers a money-back protection on a listing, the terms shown on that listing control. The holder make-whole is not a refund and is unaffected by any individual refund.

08No secondary market

Tokens are soul-bound and non-transferable. There is no AIVH-operated market to buy, sell, trade, or transfer tokens, and we do not support or recognize off-platform transfers. A token stays with the account that collected it. This is deliberate: it keeps the registry honest and keeps the economy about supporting the voices you like, not about speculation.

09Changes to these terms

We may update these terms as the product evolves — for example, to reflect a change in how the make-whole formula is set, in fees, or in the buyout process. When we do, we will update the "Last updated" date at the top of this page. Continuing to use the Token Bound registry or the Beats marketplace after a change means you accept the updated terms.
